Terms of Service

These Terms of Service ("Terms") govern your access to and use of Axel (the "Service"), operated by the entity that provides Axel ("Axel," "we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use Axel.

Axel is a team work assistant that remembers what your team knows and acts on it over chat.

The Service lets your team store knowledge as documents, chat with Axel over a company phone number routed through our messaging gateway, and view an activity feed of the messages, tool calls, and AI models involved. Axel uses AI to generate answers, summaries, and other requested outputs.

We may add, remove, or modify features from time to time.

You must be at least 18 years old and capable of forming a binding contract to use Axel on behalf of yourself or the entity you represent.

To use certain features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account.

If you use Axel on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

You retain responsibility for the knowledge documents, messages, prompts, notes, and other materials you upload to the Service or send to Axel over chat (collectively, "Customer Data").

By using Axel, you authorize us to host, process, transmit, display, and otherwise use Customer Data as necessary to provide, maintain, secure, and improve the Service in accordance with these Terms and our Privacy Policy.

Where Axel connects to messaging, telephony, or other third-party services, you authorize Axel to access and process the data needed to deliver the Service. You represent that you have all rights and permissions needed to share that data with Axel and its service providers.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Upload, connect, or process data that you do not have the right to use.
• Generate, distribute, or facilitate harmful, abusive, deceptive, fraudulent, infringing, or unlawful content.
• Send unsolicited or unlawful messages, or otherwise misuse the phone number or messaging features.
• Attempt to bypass security controls, probe vulnerabilities, or gain unauthorized access to accounts, systems, or data.
• Interfere with the availability, integrity, or operation of the Service or any connected service.
• Use Axel to build, benchmark, or train a competing product except where applicable law prohibits that restriction.

As between you and Axel, you retain ownership of your Customer Data.

Axel uses AI systems and automated processing to generate answers, summaries, and other outputs. AI-generated output may be incomplete, inaccurate, biased, or unsuitable for your use case.

You are responsible for reviewing, validating, and deciding whether to rely on any outputs generated by the Service before using them for business, technical, compliance, legal, or operational decisions.

Workspace owners and administrators may be able to invite users, configure integrations, manage permissions, and access or remove team content. You are responsible for configuring your workspace and permissions appropriately.

We implement reasonable administrative, technical, and organizational safeguards designed to protect the Service and Customer Data. However, no service is completely secure or uninterrupted, and we cannot guarantee absolute security or continuous availability.

You should not upload, connect, or send highly sensitive information unless you have assessed the risks and have the right to share that information with Axel and its service providers.

Certain features of Axel may require a paid subscription or other fees. By purchasing a paid plan, you authorize us and our payment processors to charge the applicable fees, taxes, and other amounts due to your selected payment method.

Unless otherwise stated, fees are billed in advance, renew automatically, and are non-refundable except as required by law. We may change pricing, plans, or feature limits with reasonable notice.

If you cancel a subscription, your paid access will generally continue through the end of the current billing period, after which your access may be downgraded or terminated.

Axel and all related software, models, interfaces, designs, branding, documentation, and underlying technology are owned by us or our licensors and are protected by intellectual property and other applicable laws.

Except for the limited rights expressly granted in these Terms, no rights, title, or interest in the Service are transferred to you. Feedback you provide about Axel may be used by us without restriction or compensation.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY OUTPUTS, ANALYSES, OR RECOMMENDATIONS WILL BE ACCURATE, COMPLETE, OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXEL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO AXEL FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Axel and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your Customer Data, your use of the Service, your violation of these Terms, or your violation of applicable law or any third-party rights.

You may stop using Axel at any time. We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, created risk for us or others, failed to pay amounts due, or if we discontinue the Service.

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, payment obligations, and dispute resolution.

We may update these Terms from time to time. If we make material changes, we will post the revised Terms and update the Last updated date above. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the changes.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Before initiating formal proceedings, you and Axel agree to attempt to resolve any dispute informally and in good faith by contacting legal@axel.app.

If a dispute cannot be resolved informally, it will be resolved by binding arbitration administered by the American Arbitration Association, unless applicable law requires otherwise. To the extent permitted by law, you and Axel waive any right to a jury trial or to participate in a class action.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
